Welcome to VitalMind™!

These Terms of Service (“Terms”) govern your access to and use of the VitalMind™ website, online store, and all related content, features, tools, products (including VitalMind Serenity), and services (collectively, the “Services”). The Services are operated by NeuroVital LLC (“NeuroVital,” “we,” “us,” or “our”).

The Services are powered by Shopify.

Please read these Terms carefully, as they contain important information about your legal rights, warranties, disclaimers, limitations of liability, and other key provisions.

By accessing, browsing, or using the Services (including making a purchase), you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not access or use the Services.

Section 1 – Eligibility and Account Registration

You represent and warrant that you are at least the age of majority in your jurisdiction of residence (18 years old in most U.S. states) and that you have the legal capacity to enter into these Terms.

If you are using the Services on behalf of a minor, you represent that you are their parent or legal guardian and consent to their use under your supervision.

To use certain features of the Services, you may need to create an account. You agree to provide accurate, current, and complete information and to update it promptly. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You may not transfer, sell, or assign your account to any third party. We reserve the right to suspend or terminate your account at any time for any reason.

Section 2 – Our Products

We strive to display our products (including VitalMind Serenity) accurately. However, colors, packaging, and appearance may vary depending on your device, screen settings, and other factors. We do not warrant that the visual representation of any product will exactly match the item you receive.

All product descriptions, images, and pricing are subject to change without notice. We reserve the right to modify, discontinue, or limit the availability of any product at our sole discretion.

Health Disclaimer (for Dietary Supplements): VitalMind™ products are dietary supplements. Statements regarding these products have not been evaluated by the Food and Drug Administration. These products are not intended to diagnose, treat, cure, or prevent any disease. Results may vary. Always consult your physician or qualified healthcare provider before using any dietary supplement, especially if you are pregnant, nursing, have a medical condition, or are taking medication.

Section 3 – Orders and Acceptance

Placing an order constitutes an offer to purchase. We reserve the right to accept or reject any order for any reason, including errors in pricing or availability. Your order is not accepted until we send you a confirmation email and successfully process payment.

We may cancel or limit orders at our discretion and will notify you using the contact information provided. Purchases are subject to our Refund and Return Policy. You represent that all purchases are for your personal or household use and not for resale or commercial distribution.

All purchases are subject to our Refund and Return Policy and, for subscriptions, our Cancellation Policy.

Section 4 – Pricing, Payments, and Billing

Prices displayed are in U.S. dollars and are subject to change without notice. The price you pay is the price shown at the time of order confirmation (excluding taxes, shipping, handling, and any applicable duties).

You agree to provide accurate and complete payment information and to promptly update it as needed. You warrant that you are authorized to use the payment method provided and that charges will be honored. We use secure third-party payment processors; we do not store full payment card details.

Promotions and discounts are subject to separate terms, which control in case of conflict with these Terms.

Section 5 – Shipping and Delivery

Shipping and delivery times are estimates only and are not guaranteed. We are not liable for delays caused by shipping carriers, customs, weather, or other events beyond our reasonable control.

Title and risk of loss pass to you once the products are transferred to the carrier.

Section 6 – Intellectual Property

All content on the Services, including but not limited to the VitalMind™ trademark, logos, text images, graphics, product reviews, and the overall design, is owned by NeuroVital LLC, its affiliates, or licensors and is protected by U.S. and international intellectual property laws.

You are granted a limited, revocable, non-exclusive, non-transferable license to access and use the Services for personal, non-commercial purposes only. You may not reproduce, modify, distribute, publicly display, or create derivative works from any content without our prior written consent. All rights not expressly granted are reserved.

Unauthorized use may violate copyright, trademark, or other laws.

Section 7 – Third-Party Tools and Services

We may provide access to third-party tools or services (e.g., payment processors, analytics, or shipping providers). These are provided “as is” without warranties or endorsement from us. Your use of such tools is at your own risk and subject to the third party’s terms.

The Services may contain links to third-party websites. We are not responsible for the content, accuracy, or practices of those sites. Accessing them is at your own risk. Any transactions or interactions with third parties are solely between you and that party.

Section 9 – Relationship with Shopify

The Services are hosted and supported by Shopify Inc. However, all sales and transactions occur directly between you and NeuroVital LLC. Shopify is not a party to your purchases and is not responsible for any products, services, or disputes arising from them. You release Shopify and its affiliates from any claims related to your use of the Services or purchases from us.

Section 10 – Privacy

Your privacy is important to us. All personal information collected through the Services is governed by our Privacy Policy and, where applicable, Shopify’s privacy policy. By using the Services, you consent to the collection, use, and disclosure of your information as described in those policies.

Section 11 – User Feedback and Reviews

By submitting feedback, reviews, suggestions, or other content (“Feedback”), you grant NeuroVital LLC a perpetual, worldwide, royalty-free, sublicensable, and irrevocable license to use, reproduce, modify, publish, and display that Feedback for any purpose, including commercial use and improving our products and Services.

You represent that your Feedback is accurate, does not violate third-party rights, and is not defamatory or unlawful. We may monitor, edit, or remove Feedback at our discretion but have no obligation to do so.

Section 12 – Errors and Inaccuracies

We work to provide accurate information but occasionally errors, inaccuracies, or omissions may occur in product descriptions, pricing, or availability. We reserve the right to correct them and to cancel or modify orders as needed, even after an order is placed.

Section 13 – Prohibited Uses

You may use the Services only for lawful purposes. You agree not to:

  • Use the Services for any illegal, fraudulent, or harmful purpose.

  • Violate any applicable laws or regulations.

  • Infringe our or any third party’s intellectual property rights.

We may terminate or suspend your access to the Services at any time, with or without notice, for any reason. Certain sections (including Intellectual Property, Feedback, Disclaimers, Limitation of Liability, Indemnification, and Governing Law) survive termination.

Section 16 – Disclaimer of Warranties

The Services and all products (including VitalMind Serenity) are provided “as is” and “as available” without any warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that the Services will be uninterrupted, error-free, or secure.

Your use of the Services and any products is at your own risk.

Section 17 – Limitation of Liability

To the fullest extent permitted by law, NeuroVital LLC, its officers, directors, employees, affiliates, agents, and licensors (including Shopify) shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or data, arising from your use of the Services or any products, even if advised of the possibility of such damages.

Section 18 – Indemnification

You agree to indemnify, defend, and hold harmless NeuroVital LLC, Shopify, and our respective affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of your breach of these Terms, violation of law, or use of the Services.

Section 19 – Severability; Waiver

If any provision of these Terms is held invalid, the remaining provisions remain in full force. Our failure to enforce any right does not constitute a waiver.

Section 20 – Entire Agreement; Changes

These Terms, together with our Privacy Policy and any other referenced policies, constitute the entire agreement between you and us. We may update these Terms at any time by posting the revised version on the website. Your continued use after changes constitutes acceptance.

Section 21 – Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Florida and applicable U.S. federal law, without regard to conflict of laws principles. You consent to the exclusive jurisdiction and venue of the state and federal courts located in St. Johns County, Florida.
